JUSTNOISE**

THESE TERMS CREATE A BINDING CONTRACT.

Please read these Terms of Service ("Terms") carefully because they form a contract between you and JustNoise, a sole proprietorship based in Stuttgart, Germany, operated by Trung Johny Nguyen, including our partners, employees, officers, directors, and affiliated companies ("we" and "us").

JustNoise is an AI-powered productivity tool that includes both software (AI-powered app) and hardware (Zap) to enhance focus and self-management (the "Service").

By using JustNoise, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you confirm that you have the authority to bind that organization to these Terms. By agreeing to these Terms, you confirm that you are over 13 years old.

You may use the Service only in compliance with these Terms and applicable laws. If you do not agree to these Terms, you must not use the Service.

1. FEES

JustNoise operates under a freemium model:

• Free access with basic features.

• Monthly or yearly subscriptions for premium AI-powered features.

• The physical Zap is available as a separate purchase for €40.

We reserve the right to change pricing at any time at our discretion.

2. CHANGES TO THE SERVICE

We may update or modify these Terms and additional terms applicable to the Service at any time. It is your responsibility to review these Terms regularly. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

3. ACCESS TO THE SERVICE

• You must create an account to access AI-powered features and track progress.

• You must keep your account credentials confidential and not share them with third parties.

• If your account is compromised, you must contact us immediately. We are not liable for unauthorized access.

• If an employer or third party provided your account, they may have rights to manage, reset, suspend, or view usage data.

4. DATA SECURITY & PRIVACY

• JustNoise blocks specified distractions during focus sessions.

• User data is stored locally on the user’s device and is not transmitted externally unless explicitly stated.

• By using the Service, you consent to receive mandatory communications regarding service updates and security.

• You may opt out of non-essential marketing communications.

5. PAYMENTS & REFUNDS

• Subscription fees are billed in advance and automatically renewed unless canceled.

• You must provide a valid payment method for subscriptions or physical product purchases.

• Zap hardware purchases are eligible for refunds within 30 days.

• Subscription payments are non-refundable unless required by law.

6. DISCLAIMER OF WARRANTY & LIMITATION OF LIABILITY

JUSTNOISE IS PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND.
We do not guarantee uninterrupted or error-free service.
We are not responsible for data loss, system failures, or conflicts caused by the Service.

In no event shall JustNoise be liable for indirect, incidental, special, punitive, or consequential damages.

7. JURISDICTION & LEGAL DISPUTES

These Terms are governed by German law.
All disputes must be resolved exclusively in the courts of Stuttgart, Germany.
No arbitration applies.

8. INTELLECTUAL PROPERTY

All trademarks, copyrights, software, proprietary technology, and brand elements related to JustNoise belong solely to JustNoise.
No rights are granted to users except those explicitly stated in these Terms.

9. SEVERABILITY

If any provision is found unenforceable, the remaining provisions continue in full effect.

10. RELEASE & INDEMNIFICATION

You agree to release JustNoise from claims related to product use, except in cases of gross negligence or legal violations on our part.
You agree to indemnify JustNoise against legal claims arising from misuse, violations of law, or infringement of third-party rights.
